1. Scope and Applicability
These Terms and Conditions ("Terms") govern the use of all Mediavox products and services, including but not limited to: Vixo, Turing AI, DocumentPower, mediaAPI, and Developer Portal (collectively, the "Services").
By registering, accessing, or using any of the Services, the user accepts these Terms in full. If you do not agree, do not use the Services.
These Terms apply to users in Colombia, Mexico, Peru, Ecuador, Chile, and any other jurisdiction from which the Services are accessed.
2. Registration and Account
- To use the Services you must create an account providing truthful and current information.
- You are responsible for maintaining the confidentiality of your access credentials.
- Each account is personal and non-transferable.
- Mediavox may suspend or cancel accounts that violate these Terms.
3. Use of Services
- Use the Services lawfully and in accordance with applicable legislation in your jurisdiction.
- Do not attempt to access data from other users or companies without authorization.
- Do not reverse engineer, decompile, or extract the source code.
- Do not use the Services for illegal, fraudulent activities or those that infringe third-party rights.
- Report any security vulnerability to [email protected].
4. Privacy and Personal Data Protection
Mediavox is committed to protecting users' personal information in accordance with applicable legislation in each jurisdiction:
- Colombia: Law 1581 of 2012 and Decree 1377 of 2013 (Personal Data Protection).
- Mexico: Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).
- Peru: Law 29733 (Personal Data Protection Law).
- Ecuador: Organic Law on Personal Data Protection (LOPDP).
- Chile: Law 19.628 on Protection of Private Life.
- European Union: General Data Protection Regulation (GDPR), when applicable.
4.1 Personal data
- Personal data entered is the property of each user or company.
- Mediavox will not share identifiable personal data with third parties without prior consent, except as required by law.
- Data is stored on secure servers with encryption in transit (TLS) and at rest (AES-256).
- Users may request deletion of their personal data by writing to [email protected].
5. Anonymized Data and Service Improvement
By using the Services, the user expressly authorizes Mediavox to:
- Use anonymized and aggregated data (which does not allow identification of any natural person or specific company) to improve the quality, accuracy, and performance of the Services.
- Generate market statistics and sector insights from anonymized operational data, such as: consumption patterns by geographic area, market trends by economic sector, and operational performance metrics.
- Feed cross-platform databases such as standardized address directories, geographic points of interest, and reference catalogs that benefit all users of the ecosystem.
- Train and improve artificial intelligence models using exclusively anonymized data to optimize the accuracy of suggestions, predictions, and automations.
- Commercialize, transfer, or license anonymized insights, statistics, reports, and aggregated data to third parties, without generating any right to compensation for the User. Commercialized data will never allow identification of the User or their clients individually.
Anonymization guarantee: Data used for these purposes is processed in a way that makes it impossible to identify the natural person or company of origin. Direct identifiers (names, IDs, specific addresses) are removed before any aggregated processing.
6. Artificial Intelligence
The Services use artificial intelligence technologies to:
- Process natural language queries and execute automated actions.
- Extract structured information from documents (NER — Named Entity Recognition).
- Generate suggestions, predictions, and analyses based on historical data.
- Optimize operational processes through machine learning.
The user understands and accepts that:
- AI-generated responses are assistive and do not constitute professional advice (legal, financial, medical).
- The User has the obligation to independently verify any result, calculation, or suggestion generated by the AI before its commercial application. Use of information without prior verification constitutes an express waiver of any claim against Mediavox.
- AI models are trained with anonymized data in accordance with section 5.
- Mediavox may periodically update AI models to improve their accuracy.
6.1 Document Processing (DocumentPower)
By using document analysis features, the user understands and accepts that:
- Chat files are ephemeral: Documents uploaded through chat (Vixo AI, widget, API) are processed in memory and discarded immediately after analysis. They are NOT stored permanently and do NOT count against storage quota.
- Extracted entities persist: Structured information extracted from documents (names, companies, amounts, dates, locations) is stored permanently in the database for future searches. These entities are derived data, not copies of the original document.
- Integrity verification is informational: Integrity alerts (creation metadata, modification dates, software used, digital signatures) and the integrity score (0-100) are heuristic indicators and do NOT constitute authenticity certification or forensic analysis. A high score does not guarantee the document is legitimate. A low score does not mean it is fraudulent. Mediavox does NOT guarantee the authenticity of any processed document.
- Mediavox does NOT validate authenticity: The service extracts and analyzes information from the document as provided. If the document is false, altered, or fraudulent, the analysis will reflect the content of the false document. The responsibility to verify document authenticity lies exclusively with the user.
- Processing limits: Documents larger than 5MB are processed asynchronously. Scanned PDFs have a page limit for automatic analysis. Mediavox reserves the right to reject documents that exceed technical limits or pose a security risk.
- Ownership of derived intelligence: Extracted entities, identified patterns, and integrity metadata generated during document processing, once anonymized, are the property of Mediavox in accordance with section 5 of these Terms.
- Deduplication: The system may detect and reject duplicate documents previously uploaded by the same company to optimize resource usage.
7. Intellectual Property
- The Services, including source code, design, algorithms, AI models, trademarks, and documentation, are the exclusive property of Mediavox.
- Use of the Services does not grant the user any ownership rights over the platform.
- Data and content entered by the user are the property of the user or their company.
- Anonymized and aggregated data generated from collective use is the property of Mediavox.
- Mediavox grants a limited, non-exclusive, and revocable license to use the Services according to these Terms.
- Database logic (dedicated infrastructure): When a client operates with a dedicated database, the stored procedures, functions, views, and any programmatic logic within the database are the exclusive intellectual property of Mediavox, licensed for use — not sold. The client may NOT: (a) copy, extract, decompile, or reverse-engineer the database logic; (b) redistribute or sublicense the logic to third parties; (c) use the logic outside the scope of the Mediavox Services. The client's DATA (records, transactions, documents) is their property and may be exported at any time. The LOGIC that processes that data remains Mediavox property.
- Maintenance access: Mediavox requires remote access to dedicated databases to apply updates, security patches, and new functionality. If the client revokes access, Mediavox is not responsible for bugs, vulnerabilities, or degraded functionality resulting from unapplied updates.
8. Availability and Service Levels
- Mediavox strives to maintain the Services available continuously, without guaranteeing 100% uptime.
- The service may be interrupted temporarily or for extended periods due to: scheduled maintenance, security updates, third-party infrastructure failures (hosting, cloud, DNS, CDN), cyberattacks, or force majeure.
- Mediavox SHALL NOT be liable for business losses, lost profits, reputational damage, loss of clients, or any direct or indirect damage caused by service interruptions, regardless of their duration (minutes, hours, or days) or scope (partial or total).
- The user accepts that the Services depend on third-party infrastructure (servers, networks, AI providers, external APIs) over which Mediavox does not have full control.
- In case of prolonged interruption (more than 24 continuous hours), the user's sole remedy shall be a proportional credit for downtime on their next invoice, never exceeding the monthly plan value.
- Enterprise plans may include specific Service Level Agreements (SLA) negotiated separately.
9. LIMITATION OF LIABILITY
- MEDIAVOX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, COMMERCIAL REPUTATION, OR CLIENTS.
- THE MAXIMUM CUMULATIVE LIABILITY OF MEDIAVOX FOR ALL CLAIMS SHALL BE LIMITED TO THE LESSER OF: (A) THE AMOUNT PAID BY THE USER IN THE PRECEDING 12 MONTHS, OR (B) ONE HUNDRED US DOLLARS (USD $100).
- THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MEDIAVOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Mediavox is not responsible for business decisions made based on information generated by the Services.
- Mediavox assumes no liability for failures, interruptions, policy changes, or discontinuation of external infrastructure providers, artificial intelligence services, payment processors, cloud storage, content delivery networks (CDN), DNS services, or any other third-party service on which the Services depend. The User accepts that the unavailability of these external services constitutes force majeure that exonerates Mediavox from all liability.
10. Specific Exclusions of Liability
- Artificial intelligence: Turing AI responses are advisory and do not constitute professional advice (legal, accounting, financial, medical). The user is responsible for decisions made based on AI information.
- Electronic invoicing: Mediavox provides invoicing tools but is NOT responsible for errors in tax information entered by the user or for tax non-compliance.
- Sanctions list screening: The sanctions screening service (OFAC, UN, EU, PEP) is a screening tool. It does NOT constitute a comprehensive compliance program (AML/KYC/BSA). It does not replace customer due diligence, transaction monitoring, or suspicious activity reporting. The client is solely responsible for their own regulatory compliance program.
- Fraud and threat detection: The fraud detection services (threats/analyze, fraud-check, Brand Intelligence, Telegram bot, WhatsApp bot) are informational screening tools that provide risk assessments based on heuristic analysis, pattern matching, and third-party data sources. They do NOT guarantee the detection of all fraudulent messages, nor do they guarantee that messages classified as "legitimate" or "low risk" are safe. Mediavox is NOT responsible for: (a) financial losses resulting from messages incorrectly classified as low risk (false negatives); (b) legitimate communications incorrectly classified as fraudulent (false positives); (c) decisions made by the user based on the risk assessment provided; (d) the accuracy, completeness, or timeliness of third-party data sources (Google Safe Browsing, WHOIS, DNS). The user acknowledges that no fraud detection system achieves 100% accuracy and that the final decision to act on any message lies exclusively with the user. The service is advisory only and does NOT replace the user's own judgment, direct verification with the purported sender, or professional security advice.
- Brand Intelligence: The Brand Intelligence service monitors and reports potential brand impersonation based on data from the Mediavox detection network. Mediavox does NOT guarantee: (a) detection of all impersonation attempts; (b) that reported threats are confirmed fraud (false positives may occur); (c) successful takedown of fraudulent domains (which depends on third-party registrars and hosting providers); (d) prevention of financial losses to the client's customers. The client is solely responsible for their own brand protection strategy, customer communication, and incident response. Brand Intelligence is a monitoring tool, not an insurance policy against fraud.
- Sales Copilot: Sales Copilot is an AI-powered sales assistance tool that helps field sales representatives create orders, query client information, and receive product suggestions via WhatsApp or other messaging channels. Mediavox is NOT responsible for: (a) sales targets, quotas, or revenue projections not being met, regardless of the reason; (b) orders created with incorrect quantities, products, or client information as a result of AI interpretation errors, user input errors, or ambiguous instructions; (c) business losses, lost sales, or missed opportunities resulting from service unavailability, latency, or temporary outages; (d) the accuracy of product suggestions, which are based on historical purchase data and do NOT constitute guaranteed sales predictions; (e) integration failures with the client's ERP, inventory, or logistics systems that result in unprocessed or duplicated orders; (f) data accuracy of imported catalogs, client lists, or pricing provided by the client (garbage in = garbage out); (g) fraud committed by sales representatives using the system (fictitious orders, phantom clients, inflated quantities). The client acknowledges that: (i) Sales Copilot is an assistance tool, NOT a replacement for human judgment, supervision, or sales management; (ii) all orders created by AI MUST be reviewed and approved through the client's own business processes before fulfillment; (iii) daily usage caps exist to control costs and may limit representative access during high-demand periods; (iv) the AI may occasionally misinterpret voice notes, colloquial language, or ambiguous product names; (v) Mediavox has NO visibility into nor responsibility for the client's sales strategy, compensation plans, territory assignments, or commercial decisions. The client is solely responsible for training their sales team on proper use, establishing order review workflows, and monitoring for anomalies. Sales Copilot does NOT guarantee any level of sales performance, revenue increase, or operational efficiency.
- Payroll: Payroll calculations are support tools. Mediavox is NOT responsible for errors in labor parameter configuration or for employee claims against the user.
- Third-party integrations: Mediavox is NOT responsible for the availability or functioning of integrated third-party services (electronic invoicing, payment gateways, AI services).
- Credential security: Mediavox is NOT responsible for unauthorized access resulting from the user's negligence in protecting their credentials, including but not limited to: passwords, API keys, two-factor authentication devices (authenticator apps, TOTP secrets), access tokens, or any other authentication mechanism. The user is solely responsible for the custody and security of all devices and credentials that grant access to Mediavox services.
- Client-managed infrastructure: When the client elects to host their database or storage on their own or third-party infrastructure (public or private cloud), the client is solely responsible for: (a) availability, performance, and uptime of such components; (b) security hardening, patching, and vulnerability management; (c) backups, disaster recovery, and data integrity; (d) network security, firewall configuration, and access controls; (e) encryption of data at rest and in transit within their infrastructure; (f) compliance with applicable data protection regulations in their jurisdiction. Mediavox shall not be liable for outages, data loss, data breaches, latency, or unavailability caused by the client's infrastructure. The client must ensure adequate network connectivity and access permissions for Mediavox services to operate correctly. Mediavox is not responsible for security incidents originating from the client's infrastructure, including but not limited to: unauthorized access to the client's database or storage, ransomware attacks on the client's servers, or data exfiltration through the client's network.
11. Indemnification
The user agrees to defend, indemnify, and hold harmless Mediavox from any claim arising from: (a) use of the Services; (b) violation of these Terms; (c) violation of third-party rights; (d) data entered by the user; (e) business decisions based on information from the Services.
12. Billing and Payments
- Paid plans are billed monthly in USD.
- Free Trial: Some products offer a free trial period (up to 14 days) without requiring a credit card. At the end of the trial, the user must select a paid plan to continue using the service.
- Usage Limits (Hard Cap): Plans without overage billing have a strict monthly limit. Upon reaching the limit, the service returns an error until the next billing period. The user may upgrade their plan at any time for increased quota.
- Overage Billing: Plans that include overage billing allow continued use beyond the monthly quota. Overage is billed at the published per-unit rate. A maximum accumulated overage threshold exists; upon reaching it, payment is required to continue.
- Grace Period: In case of payment failure, the user has 7 days of grace with full functionality. After day 7, the account enters read-only mode (can view data but cannot create or edit). After day 30, the account is suspended. After day 60, data is deleted (with a 30-day backup).
- Reactivation: Payment of the outstanding balance reactivates the account immediately at any point during the grace or suspension period.
- Grandfathering: Existing customers maintain their price at the time of subscription. If prices increase, the new price applies only to new customers or upon voluntary renewal.
- Prices may be modified with 30 days advance notice.
13. Termination
- The user may cancel their account at any time.
- Upon cancellation, user data is retained for 30 days and then permanently deleted.
- Mediavox may terminate the service for breach of these Terms with 7 days prior notice.
- Anonymized and aggregated data generated during use of the service remains the property of Mediavox in accordance with section 5.
14. Modifications
Mediavox reserves the right to modify these Terms. Changes will be notified by email and/or notice within the platform with at least 15 days advance notice. Continued use after notification constitutes acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable in the user's jurisdiction. For dispute resolution, the parties agree to attempt mediation first and, failing that, submit to binding arbitration under the rules of the International Chamber of Commerce (ICC), without prejudice to rights granted by the user's local legislation.
The User agrees that any dispute shall be resolved individually and expressly waives the right to participate in any class action, group lawsuit, or collective arbitration against Mediavox.
16. Severability
If any provision of these Terms is declared null, invalid, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect and shall be interpreted to fulfill the original intent of the parties.
17. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the use of the Services and supersede any prior communication, promise, representation, or agreement, whether oral or written, between the parties on the same subject matter.
18. Survival
Sections 4 (Privacy), 5 (Anonymized Data), 7 (Intellectual Property), 9 (Limitation of Liability), 10 (Exclusions), 11 (Indemnification), 16 (Severability), and 18 (Survival) survive termination of these Terms for any reason.
